國際在線消息，德國總理默克爾9月7日結(jié)束對中國為期兩天的正式訪問。長期以來，中德關(guān)系走在中國與其他西方國家關(guān)系的前列。默克爾總理14年來12次訪華，這在西方領(lǐng)導(dǎo)人中屈指可數(shù)。在當(dāng)前中美經(jīng)貿(mào)摩擦升級、全球發(fā)展不確定性上升的背景下，默克爾此次訪華備受關(guān)注，傳遞出兩個重要信號：一個是中德雙方確認(rèn)加強(qiáng)溝通協(xié)調(diào)的必要性和重要性，另一個是德國強(qiáng)化對華合作的意愿更為迫切。
9月6日，在李克強(qiáng)總理和德國總理默克爾的共同見證下，中國出口信用保險(xiǎn)公司與德國巴登-符騰堡州銀行在人民大會堂簽署了《全面業(yè)務(wù)合作協(xié)議》。該協(xié)議旨在確立中國信保與巴登-符騰堡州銀行的全面業(yè)務(wù)合作關(guān)系，服務(wù)中德全方位戰(zhàn)略伙伴關(guān)系深入發(fā)展，促進(jìn)中德兩國在工程承包、機(jī)械設(shè)備等領(lǐng)域務(wù)實(shí)合作，拓展第三方市場合作。中國信保將就相關(guān)項(xiàng)目提供保險(xiǎn)支持，巴登-符騰堡州銀行將為中國信保及相關(guān)中資企業(yè)參與項(xiàng)目提供融資支持和便利服務(wù)。

德國巴登-符騰堡州銀行成立于1999年1月，由三家州立城市商業(yè)銀行合并而成，總部位于德國斯圖加特，是德國目前第四大銀行，也是德國最大的州立銀行，總資產(chǎn)2410億歐元，穆迪評級Aa3，在德國擁有170家營業(yè)網(wǎng)點(diǎn)，在墨西哥城、紐約、倫敦、新加坡及韓國設(shè)有5家海外分行，在北京、上海、莫斯科等14個地區(qū)設(shè)有代表處。

鑒于簽訂所有權(quán)保留條款的出口商在債務(wù)人破產(chǎn)后的主動權(quán)以及減損可能性上遠(yuǎn)遠(yuǎn)超過那些未簽署過所有權(quán)保留條款的出口商，且所有權(quán)保留條款只需在貿(mào)易合同中書面列明，與貿(mào)易合同一起生效并不需要另行進(jìn)行公證。為幫助廣大企業(yè)更好開拓德國市場，優(yōu)化貿(mào)易合同，應(yīng)對相關(guān)風(fēng)險(xiǎn)，我們特向德國的合作律師獲取了所有權(quán)保留條款范例，供大家參考。
Retention of Title
Extended Retention of Title (Erweiterter Eigentumsvorbehalt)All supplied goods remain the seller's property (reserved property) until the buyer has paid all outstanding amounts resulting from their business relationships. Transformation Clause (Verarbeitungsklausel)With regard to processing or manufacturing of the supplied goods, the seller shall be deemed to be manufacturer within the meaning of § 950 BGB (German Civil Code) without committing him in any way. The processed or manufactured goods shall be regarded too as reserved property within the meaning of the above said conditions. If the buyer manufactures, combines or mixes the supplied goods with other goods, the seller shall obtain co-ownership in the new goods in proportion to the invoiced price of the supplied goods to the invoiced price of the goods of the other sellers.If, by such converting of goods, the seller's ownership expires, the buyer herewith transfers to the seller any rights which the buyer will have in the new stock or goods in proportion of the invoiced price of the supplied goods, and the buyer will keep them in safe custody free of charge for the seller. The seller's co-ownership rights shall be regarded as reserved property within the meaning of the above-said conditions.Prolonged Retention of Title(Verl?ngerter Eigentumsvorbehalt)The buyer may resell the goods only within the normal course of his business and only as long as he is not in default of payment. The buyer shall not be entitled to dispose of these goods in any other way.The buyer hereby assigns to the seller any claims resulting from the resale of these goods. Such claims shall serve as the seller's security to the same extent as the goods itself. In the case of resale of goods in which the seller has co-ownership rights (e. g. Transformation Clause), the assignment shall be limited to the part which corresponds to the seller's co-ownership rights.
